Fine Law represented the management of an online advertising company in a management buy-out transaction. Our assistance included assessing the viability of management's business strategy and appraising the potential risks, drafting the documentation, negotiations, advising on the shareholding structure following the transaction and by-laws changes.

We assisted a global bakery consultancy group in connection with the acquisition of an approximately EUR 2 million bread line from a Romanian company in insolvency. Our services have included the preparation and review of the purchase offers, assistance in negotiations, assessment of legal risks, drafting and reviewing sale-purchase documentation, including corporate approvals in various jurisdictions.

We successfully represented a global waste management company before Romanian Tax Authority (ANAF) in connection with more consecutive VAT refund applications amounting to more than EUR 800.000. Whilst in two cases we proficiently recovered the VAT by applicable procedures, in one case the VAT was recovered in court and in other case the Tax Authority discharged its own negative initial decision to refuse VAT refund and admitted to proceed to the reassessment of the documents and the reissuance of a new decision. The representation included advising on the legally required form of the supporting documents, managing the relationships with the suppliers in such purpose, drafting the claims and representation before the court and the relevant tax authority.
